Notice of Posted Terms: Where applicable, these Terms may be posted on-site at our business premises. By purchasing from us (in-store or online) or by authorizing us to perform any services, you agree to these Terms.

By accessing or using AudioResellerz.com and/or purchasing products or services from us (the “Site” and “Services”), you agree to be bound by these Terms of Service (the “Terms”). Please read them carefully.

1. Overview

AudioResellerz.com is operated by Audio Sellerz LLC (the “Company,” “we,” “us,” or “our”), located at 3132 Wadsworth Rd, Norton, OH 44203.

2. Eligibility

You must be 18+ (or the age of majority in your state) to purchase or use the Site, or use it under the supervision of a parent or legal guardian.

3. Product Information & Availability

We work hard to keep listings accurate (descriptions, pricing, photos, availability), but errors may occur. We may modify or discontinue any product at any time without notice.

4. Pricing, MAP & Payments

  • Prices are listed in USD and may change until items ship.

  • Where applicable, we comply with Minimum Advertised Price (MAP) policies set by manufacturers.

  • We accept major cards and online payment platforms. Orders are processed once payment is authorized.

Important Pricing Notice (Pass-Through of Uncontrollable Increases): From time to time, costs may increase due to factors outside our control (manufacturer price adjustments, supply/demand shocks, tariffs, raw-material spikes, freight increases, etc.). Such increases are passed directly to the customer and may require a price update at any time prior to shipment. This applies to all items, including custom/made-to-order and pre-orders.

Taxes: You’re responsible for any applicable sales/use taxes, duties, or fees not collected at checkout.

5. Orders, Pre-Orders & Cancellations

  • Pre-orders ship when available; dates are estimates and may change due to supplier constraints.

  • Orders can be canceled only if they have not been processed or entered production. Custom/made-to-order items cannot be canceled once submitted.

  • We may cancel/limit any order for any reason (suspected fraud, pricing errors, supply limits). If we cancel, we’ll refund what you paid.

6. Shipping & Delivery

  • We ship within the United States (exclusions may apply for oversized/hazardous items).

  • Processing times: in-stock items typically ship within 1–3 business days after payment clears; custom/made-to-order items ship after production.

  • Carrier selection and signature requirements are at our discretion for high-value orders. “Expedited” refers to transit time, not processing.

Risk of Loss / Claims: Once a shipment leaves our facility (and/or partners/affiliates), the carrier is responsible for loss/damage. If your package is lost or arrives damaged, we’ll assist with the carrier claim, but no replacement ships until the carrier resolves and pays the claim (including partial payouts). Keep all packaging and follow carrier deadlines.

7. Returns & Restocking

  • Return window: 30 calendar days from purchase. You must obtain an RMA prior to return.

  • Eligible items must be new, unused, uninstalled, with all original packaging/accessories.

  • Restocking fee: Minimum 10%; may increase based on condition (opened, missing parts, writing on product box, cosmetic issues).

  • Non-returnable: Apparel & merch, subwoofer boxes/enclosures, alternators, custom/made-to-order items, any installed/used items, fluids, cut wire, Final Sale/Open Box.

  • Shipping/handling is non-refundable; you’re responsible for return shipping unless our error.

Inspection & Refunds: Allow 3–10 business days after delivery to us for inspection. Refunds go to the original payment method, less restocking, non-refundable processor fees (where applicable), and outbound shipping (including “free shipping” promos).

8. Warranties

Most products carry a manufacturer’s warranty. Unless we state otherwise in writing, we do not provide extended warranties. Warranty claims are generally handled directly with the manufacturer under their terms.

9. Fraud, Chargebacks & Collections

We take fraud extremely seriously. If you initiate a chargeback after receiving your order—especially on custom/made-to-order items—without contacting us to resolve it first, we will act immediately to protect our business and community.

Chargeback Recovery & Criminal Action Clause

Upon receipt of any chargeback notice, we may initiate civil and criminal action. Whether a chargeback is approved or denied, you remain responsible for the full original amount and the following liquidated damages (a reasonable pre-estimate of our losses and disruption, not a penalty, to the fullest extent permitted by Ohio law):

  • 2× the chargeback amount (penalty multiplier).

  • Labor/administrative fees: Minimum 10 hours at $100/hour for investigation, documentation, evidence submission, collections, and court prep (additional hours billed at $100/hour if needed).

  • Court costs/fees: Actual small-claims filing/service fees (Barberton Municipal or otherwise). If escalated beyond small claims, you’re responsible for all related filing and legal costs allowed by law.

Example: $500 chargeback → $1,000 (2×) + $1,000 (10 hours) + court costs = $2,100 + court costs.

Criminal Referral: We may provide documentation to the Summit County Prosecutor’s Office or other appropriate authorities to pursue criminal theft/fraud charges under Ohio law.

10. Services Performed on Property/Vehicles (If Applicable)

If Audio Resellerz (or Audio Sellerz LLC under this brand) performs any work on your vehicle or other property:

  • Payment in full is required before the vehicle/property is released.

  • Failure to pay authorizes us to hold the property until paid. We may secure the vehicle with a wheel boot and/or steering lock; removal may result in theft and damage charges as determined by Ohio law.

  • If payment is not made within 30 days, we may file a lien and pursue title in accordance with Ohio law.

  • Minimum admin charge: 10 hours at $100/hour (minimum $1,000) for collection, storage/security, lien processing, and documentation (additional time billed at $100/hour).

  • All legal fees and costs related to collection are your responsibility where permitted by law.

11. Acceptable Use

You agree not to: (a) engage in fraudulent transactions; (b) interfere with Site security; (c) upload malware; (d) abuse chargeback processes; or (e) use the Site in any unlawful manner.

Defamation Notice: Public acts intended to harm our reputation (e.g., destruction/defacing of our merchandise in a public or recorded setting) may constitute defamation and other violations; we will pursue immediate legal action.

12. User Content & Reviews

If you post reviews or other content, you grant us a worldwide, royalty-free license to use, reproduce, distribute, display, and create derivative works for marketing and operations. You represent you own or control the content and it doesn’t infringe others’ rights.

13. Intellectual Property

All content on the Site—designs, text, graphics, logos, photos, and software—is owned by or licensed to us and is protected by intellectual-property laws. You may not copy, modify, or distribute without permission.

14. Privacy

Your use of the Site is also subject to our Privacy Policy. If there’s any conflict between our Privacy Policy and these Terms as to personal information, the Privacy Policy controls. Nothing in the Privacy Policy limits our ability to collect, use, preserve, or disclose personal information as reasonably necessary to detect, investigate, prevent, and prosecute suspected fraud (including chargeback fraud), recover amounts owed, comply with law, or assert/defend legal claims.

15. Limitation of Liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages (including lost profits/revenue/data) arising from your use of the Site or products, even if advised of the possibility. Our total liability shall not exceed the amount you paid for the specific product(s) or service(s) giving rise to the claim.

16. Indemnification

You agree to indemnify and hold harmless the Company and its affiliates, officers, employees, and agents from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Site, your breach of these Terms, or your violation of law or third-party rights.

17. Governing Law; Venue

These Terms are governed by the laws of the State of Ohio without regard to conflicts rules. Any action must be brought in Summit County, Ohio (and Barberton Municipal Court for qualifying small-claims matters). You consent to that jurisdiction and venue.

18. Force Majeure

We aren’t responsible for delays/failures caused by events outside our reasonable control (e.g., weather, carrier/network failures, strikes, supply shortages, acts of God, government actions).

19. Changes to Terms

We may update these Terms at any time. Updates will be posted on this page with a revised Effective Date. Your continued use after changes means you accept the updated Terms.

20. Entire Agreement; Severability; No Waiver

These Terms (plus any policies referenced here, including the Privacy Policy) are the entire agreement between you and us regarding the Services. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver.
